Paris, France, April 30, 2009

Natixis’ General Shareholders’ Meeting of April 30, 2009 has approved the new company statutes and changes to the company’s administration and management methods via the creation of a Board of Directors.

In accordance with the new statutes, the Shareholders have appointed the 17 Directors of Natixis.

They are: François Pérol, Banque Fédérale des Banques Populaires represented by Philippe Queuille, Caisse Nationale des Caisses d’Epargne represented by Alain Lemaire, Vincent Bolloré, Jean Clochet, Jean-Claude Créquit, Stève Gentili, Francis Henry, Bernard Jeannin, Olivier Klein, Yvan de La Porte du Theil, Jean -Charles Naouri, Didier Patault, Henri Proglio, Philippe Sueur, Jean- Louis Tourret and Robert Zolade. Luigi Maranzana has been appointed non-voting member.

The Board of Directors of Natixis held its first meeting right after the General Shareholders’ Meeting.

François Pérol was appointed Chairman of the Board and Didier Patault and Jean -Louis Tourret were appointed Vice-Chairmen. The Board also appointed Laurent Mignon Chief Executive Officer of Natixis starting on May 14, 2009. Jean-Marc Moriani will deputize for the Chief Executive Officer in the interim.

François Pérol

Age 45 is Chairman of the Executive Board of Caisse Nationale des Caisses d’Epargne, Chief Executive Officer of Banque Fédérale des Banques Populaires and Chairman of the Supervisory Board of Natixis since March 2009.

François Pérol is a graduate of HEC and IEP Paris and a former student of École nationale d'administration. In 1994, he was appointed Rapporteur, then Deputy Secretary General of the Comité interministériel de restructuration industrielle. Head of the Capital Markets Office at the Treasury Department (1996-1999) and then Secretary General of the Club de Paris, he was appointed Deputy Director of Business Financing and Development at the Treasury Department in 2001. In 2002, he was appointed Deputy Director of Francis Mer’s office and then of Nicolas Sarkozy’s office at the French Ministry of Economy, Finance and Industry. From 2005 to 2007, he was partner manager of Bank Rothschild & Cie. In May 2007, he was Deputy Secretary General to the French President’s office.

 

Vincent Bolloré

Age 57 is Chief Executive Officer of Groupe Bolloré, a market leader in the manufacturing, transportation and logistics sectors, energy distribution and media.

 

Jean Clochet

Age 63 is Chairman of the Board of Directors of Banque Populaire des Alpes. He is also Chairman and Chief Executive Officer of Routin SA, which produces and markets beverages from concentrate.

Jean Clochet is a graduate from Ecole supérieure de commerce et d’administration des entreprises (Escae) in Lyon.

 

Jean-Claude Crequit

Age 56 is Chairman of the Executive Board of Caisse d’Epargne Côte d’Azur.

Having previously worked in the public sector and the banking sector, he has held executive positions at the Caisses d’Epargne since 1984.

 

Stève Gentili

Age 59 has been Chairman of BRED Banque Populaire since 1998.

He was also Executive in a major food company until 2004. He is also President of Agence des Banques Populaires pour la Coopération et le Développement (ABPCD) and of Natixis Pramex International.

 

Francis Henry

Age 63, honorary solicitor, has been Chairman of the Steering and Supervisory Board of Caisse d’Epargne Lorraine Champagne-Ardenne since 1992.

 

Bernard Jeannin

Age 59 has been Chief Executive Officer of Banque Populaire Bourgogne Franche-Comté since 2002.

Bernard Jeannin has held several management positions within Groupe Banque Populaire.

 

Olivier Klein

Age 51 is Chairman of the Executive Board of Caisse d'Epargne Rhone Alpes and Professor of Financial Economics.

He is a graduate of Ecole Nationale de la Statistique et de l’Administration Economique (ENSAE) and of HEC’s Cycle d’Etudes Supérieures en Finances. After having held positions of responsibility at BFCE and Natexis, he joined Groupe Caisse d’Epargne in 1998. He held, in particular, the position of Chairman of the Executive Board of Caisse d’Epargne Ile de France Ouest. In 2007, Olivier Klein was appointed Chairman of the Executive Board of Caisse d’Epargne Rhône Alpes.

 

Yvan de La porte du Theil

59 years old has been Chief Executive Officer of Banque Fédérale des Banques Populaires since March 2009 and Chief Executive Officer of Banque Populaire Val de France since 2002.

From 1973 to 1982, he held several positions in the commercial sector at Groupe Banque Populaire. He then became Deputy Chief Executive Officer of Banque Populaire Val de France until 1992. Within the Chambre Syndicale des Banques Populaires, he held the position of Central Manager in charge of Development, Communications and International Affairs (1993-1995), and of Deputy Chief Executive Officer (1995-1999), and of Deputy Chief Executive Officer of International development, Organization and Technologies (2000).

 

Alain Lemaire

Age 59 has been Chief Executive Officer of Caisse Nationale des Caisses d’Epargne et de

Prévoyance,  permanent  representative  of  Caisse  Nationale  des  Caisses  d’Epargne  et  de

Prévoyance to the Supervisory Board of Natixis since 2008 and Chairman of Caisse d’Epargne

Provence-Alpes-Corse since 2002.

A former student of Ecole Nationale des Impôts and ENA, Alain Lemaire was Chief Executive Officer of Crédit Foncier from 1999 to 2002.

 

Jean-Charles Naouri

Age 60, Chairman and Chief Executive Officer and founder of Euris, the holding company of one of France’s leading retail groups.

He began his career as an auditor with the French Treasury before becoming chief of staff at the Ministry of Social Affairs and National Solidarity in 1982 and the Ministry of Economy in 1984. He was also Managing partner at Rothschild & Cie Banque from 1987 to 2005

 

Didier Patault, Vice-Chairman of the Board of Directors

Age 48 is Chairman of the Executive Board of Caisse d’Epargne Bretagne-Pays de Loire.

Didier Patault held positions of responsibility at CDC Gestion until 1992, and then at Caisse d’Epargne des Pays du Hainaut and Caisse Nationale des Caisses d’Epargne.

 

Henri Proglio

Age 59 is Chairman and Chief Executive Officer of Veolia Environnement.

A graduate of HEC, he began his career at Compagnie Générale des Eaux where he held a variety of positions until his appointment to the position of Chairman and Chief Executive Officer of CGEA in December 1990. In 1991, he was appointed senior executive of CGE. From 1996 to 1999, he held several positions first as Member of the Executive Committee of Veolia, and then Executive Vice-President, senior Executive Vice-president and then Chairman of the Executive Board of Vivendi Environnement. In 2003, he became Chief Executive Officer of Veolia Environnement.

 

Philippe Queuille

Age 52 is Deputy Chief Executive Officer of Banque Fédérale des Banques Populaires and Chief Executive Officer of Informatique Banques Populaires since 2000.

He previously held several management positions at Groupe Banque Populaire.

 

Philippe Sueur

Age 62 is Vice-Chairman of the Steering and Supervisory Board of Caisse d’Epargne Ile-de-France.

A professor of Law, Philippe Sueur was Honorary Dean of the Law School Paris Nord from 1992 to 2002. He also holds a number of elective positions in the Île-de-France region.

 

Jean-Louis Tourret, Vice Chairman of the Board of Directors Age 65 is Chairman of Banque Populaire Provençale et Corse

He is the manager of several industrial companies in the electronic sector and services companies. He is a member of professional and employer organizations and a local elected representative in Marseille.

 

Robert Zolade

Age 68 is Chairman and one of two co-founders of the contract catering group Elior.

A graduate of Institut d’Études Politiques (IEP) of Paris, he holds a degree in Law and Economics. Robert Zolade was Chairman and Chief Executive Offcier of Générale de Restauration (Accor group of companies) in 1990 and Deputy Director of Compagnie Internationale des Wagons-Lits et Tourisme from 1990 to 1992.

 

Luigi Maranzana

Age 68 is Chairman of Eurizon Vita S.p.A.

He was previously Deputy Director of Sanpaolo Imi S.p.A. During his career, Luigi Maranzana managed the group’s activities in the United States (1980s), and then at Banque Sanpaolo in France in the 1990s.

 

Laurent Mignon

Age 45, he has been Managing Partner of Oddo & Cie alongside Philippe Oddo since September 2007.

Before that, Laurent Mignon was Chief Executive Officer of AGF Group, Chairman of the Executive Committee and member of the Executive Committee of Allianz from January 2006 to June 2007. He joined AGF in 1997 as Chief Financial officer and was appointed member of the Executive Committee in 1998. He then headed several sectors in 2002 including Investments, Banque AGF, AGF Asset Management, AGF Immobilier and, in 2003, Life and Financial Services sector (asset management, banking activities, real estate) and of Credit Insurance (Groupe Euler & Hermes).

Before joining AGF Group, Laurent Mignon held several positions for ten years at Banque Indosuez, from the trading rooms to Corporate Finance. In 1996, he joined Schroders Bank in London.

Laurent Mignon is also a member of the Board of Directors and Strategy Committee of Sequana, and member of the Board of Directors and of the Audit Committee of Arkema.

He is a graduate of HEC and of the Stanford Executive Program.
